Terms of Use

When you purchase Click2eLearn subscriptions you agree to abide by the following terms and conditions.

End User License Agreement

IMPORTANT: THIS AGREEMENT (or "EULA") IS A LEGAL AGREEMENT BETWEEN THE PERSON, COMPANY, OR ORGANIZATION THAT HAS LICENSED THIS Product ("YOU" OR "CUSTOMER") AND CLICK2ELEARN. BY USING THE PRODUCT, CUSTOMER ACCEPTS THE PRODUCT AND AGREES TO THE TERMS OF THIS AGREEMENT. READ IT CAREFULLY BEFORE COMPLETING THE INSTALLATION PROCESS AND USING THE PRODUCT. BY USING THE PRODUCT, YOU ARE CONFIRMING YOUR ACCEPTANCE OF THE PRODUCT AND AGREEING TO BECOME BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO BE BOUND BY THESE TERMS, OR DO NOT HAVE AUTHORITY TO BIND CUSTOMER TO THESE TERMS, THEN DO NOT PURCHASE AND USE THE PRODUCT.
THIS EULA SHALL APPLY ONLY TO THE PRODUCT SUPPLIED BY CLICK2ELARN HEREWITH REGARDLESS OF WHETHER OTHER PRODUCT IS REFERRED TO OR DESCRIBED HEREIN.

1. Definitions

"Product" means Online Training developed and presented by Click2eLearn, in each case, supplied by Click2eLearn herewith, and online or electronic documentation. Any updates to such Product which you are entitled to receive and that has been provided to you by Click2eLearn shall also mean Product for purposes of this Agreement.

2. License Grants

The licenses granted in this Section 2 are subject to the terms and conditions set forth in this EULA:
(a) You may use the Product account on multiple computers, provided you have a license for each separate person. A single-user license for the Product account may not be used concurrently on different computers.
(b) You may not sell or transfer any copy of the Product account in any circumstance.
(c) Product is not to be altered, modified, or tampered with in any way. If you require changes to your Product, notify us and we will accommodate you.
(d) Altering, modifying or tampering with our Product, whether they are the original versions on our website, or versions that have been rebranded for our clients, is strictly forbidden.
(e) Hotlinking directly to the Product on our website from other websites or emails is strictly forbidden, and is considered theft.
(f) When you subscribe to Product, you are to use only as long as your subscription is active. Once you cancel your subscription, you are no longer allowed to access on our website.
(g) You agree that Click2eLearn may audit your use of the Product for compliance with these terms at any time, upon reasonable notice. In the event that such audit reveals any use of the Product by you other than in full compliance with the terms of this Agreement, you shall reimburse Click2eLearn for all reasonable expenses related to such audit in addition to any other liabilities you may incur as a result of such non-compliance.

3. General

This EULA shall be governed by the internal laws of the Hong Kong, without giving effect to principles of conflict of laws. You hereby consent to the exclusive jurisdiction and venue of the courts sitting in Hong Kong to resolve any disputes arising under this EULA.
This EULA contains the complete agreement between the parties with respect to the subject matter hereof, and supersedes all prior or contemporaneous agreements or understandings, whether oral or written. You agree that any varying or additional terms contained in any purchase order or other written notification or document issued by you in relation to the Product licensed hereunder shall be of no effect. The failure or delay of Click2eLearn to exercise any of its rights under this EULA or upon any breach of this EULA shall not be deemed a waiver of those rights or of the breach.
No Click2Elearn dealer, agent or employee is authorized to make any amendment to this EULA.
If any provision of this EULA shall be held by a court of competent jurisdiction to be contrary to law, that provision will be enforced to the maximum extent permissible, and the remaining provisions of this EULA will remain in full force and effect.
Legal action will be taken against any individual or company attempting to circumvent these terms. These terms are in place to protect the thousands of hours invested in developing the tutorials (our inventory). The penalty for attempting to rebrand our tutorials on your own is not simply the selling price of the tutorials in question, but the "potential" sales we could lose if un-branded or generically branded tutorials were made available. This would be many thousands of times greater than the selling price.
